SimpleRev provides an AI-powered sales commission management platform that allows businesses to design, calculate, and manage sales commission plans. Our services include:

• Comprehensive reporting and analytics
• CRM and data source integrations

3. Account Terms

To use our services, you must create an account. By creating an account, you agree to the following:

• Failure to pay outstanding fees may result in suspension or termination of your account

6. Data and Content

You retain ownership of all data and content that you upload to or create within the SimpleRev platform (“Your Data”).

• You grant us a limited, non-exclusive license to use Your Data solely for the purpose of providing and improving our services
• We will handle Your Data in accordance with our Privacy Policy
• You are responsible for ensuring that Your Data does not violate any applicable laws or infringe on the rights of any third party
• We may use aggregated, anonymized data derived from Your Data for analytics and service improvement purposes

7. Intellectual Property

The SimpleRev platform, including its software, design, logos, trademarks, and all associated content, is owned by SimpleRev, Inc. and is protected by intellectual property laws.

• You may not copy, modify, distribute, sell, or create derivative works based on our platform without our prior written consent
• Any feedback, suggestions, or ideas you provide to us may be used by SimpleRev without any obligation or compensation to you
• Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements

8. Service Availability and Support

We strive to maintain high availability of our platform, but we do not guarantee uninterrupted or error-free service. From time to time, we may need to perform scheduled maintenance, which we will communicate with advance notice when possible.

Customer support is available via email during business hours. Response times may vary depending on your plan and the nature of your inquiry.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SimpleRev, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to SimpleRev in the twelve (12) months immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SimpleRev, Inc. and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights

11. Termination

• You may cancel your account at any time through your account settings
• We may terminate or suspend your account if you violate these Terms or for any other reason at our sole discretion with reasonable notice
• Upon termination, your right to access and use the service ceases immediately
• We will make Your Data available for export for thirty (30) days following termination, after which it may be permanently deleted
• Provisions of these Terms that by their nature should survive termination will remain in effect

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by email or by posting a prominent notice on our website at least 30 days before the changes take effect.

Your continued use of the service after any modifications indicates your acceptance of the updated Terms. If you do not agree with the modified Terms, you should discontinue your use of the service.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
